Articles of Association of The East Asian Health Association
Chapter 1 General Provisions
Article 1 (Name)
The name of this organization is "The East Asian Health Association" (hereinafter referred to as "the Association").
Article 2 (Office)
The principal office of the Association is located at "843, In-nong Hall, 305, Dongheon-ro, Deogyang-gu, Goyang-si, Gyeonggi-do," and branches may be established in necessary regions upon the resolution of the Board of Directors.
Article 3 (Purpose)
The purpose of the Association is to contribute to academic development and the improvement of public health by promoting academic research, technological development, and information exchange in the fields of East Asian health and medical science, and to promote friendship among members.
Article 4 (Business)
In order to achieve the purpose of Article 3, the Association performs the following
businesses:
1. Publication of academic journals, newsletters, and related research materials
2. Hosting of academic conferences, seminars, lectures, and research presentation meetings
3. Performance and support of industry-academic cooperative joint research projects
4. International academic exchange and cooperation with relevant domestic and foreign institutions
5. Awards and prizes for excellent academic and research achievements
6. Other businesses necessary to achieve the purpose of the Association
Chapter 2 Members
Article 5 (Qualifications of Members)
① Members of the Association consist of regular members, student members, institutional members, and honorary members who agree with the purpose of the Association and have submitted the prescribed membership application form.
② Matters concerning specific qualifications, admission procedures, and classification of members are determined by the Membership Regulations.
Article 6 (Rights and Obligations of Members)
① Members have the right to participate in the activities of the Association and have the right to vote at the General Assembly according to each member classification.
② Members have the obligation to comply with these Articles of Association, implement the resolutions of the Association, and pay the prescribed membership fees.
Article 7 (Disciplinary Action and Withdrawal)
① Members who wish to withdraw from the Association may do so at any time by submitting a withdrawal form.
② If a member damages the honor of the Association or neglects their obligations, they may be suspended, deprived of their qualifications, or expelled through a formal resolution of the Board of Directors.
Chapter 3 Executives
Article 8 (Composition of Executives)
The Association shall have the following executives:
President 1
Vice Presidents (including 1 Senior Vice President) a few
Directors (including Executive Directors) a few
Auditors 2
Article 9 (Term of Office)
① The term of office for all executives is 2 years, and they may be reappointed.
However, the Editor-in-Chief may serve for 3 years in consideration of maintaining expertise and may be reappointed.
② If a vacancy occurs among the executives, a replacement executive shall be elected, and the term of the replacement executive shall be the remaining period of the predecessor.
Article 10 (Duties of Executives)
① The President represents the Association, oversees the work of the Association, and serves as the chair of the General Assembly and the Board of Directors.
② The Vice President (Senior Vice President) assists the President, and if the President is unable to perform their duties due to unavoidable circumstances, the designated Vice President shall act on their behalf.
③ The Directors constitute the Board of Directors to deliberate and resolve on matters concerning the operation of the Association.
④ The Auditors audit the business operation and property status of the Association and report the results to the General Assembly.
Chapter 4 General Assembly
Article 11 (Composition and Authority)
① The General Assembly is the supreme decision-making body of the Association and consists of all regular members.
② The General Assembly deliberates and resolves on the following matters:
- Election and dismissal of executives
- Matters concerning the amendment of the Articles of Association
- Approval of business plans, budgets, and settlements of accounts
- Dissolution of the Association
- Other major matters proposed by the Board of Directors
Article 12 (Convocation)
① The General Assembly is divided into regular General Assemblies and extraordinary General Assemblies.
② The regular General Assembly is convened by the President once a year.
③ The extraordinary General Assembly is convened by the President when there is a request from the Board of Directors or a written request from one-third or more of the regular members.
Article 13 (Quorum and Voting)
① Unless otherwise stipulated in these Articles of Association, the General Assembly is established by the attendance of a majority of regular members (including those who have submitted a power of attorney).
② Resolutions of the General Assembly are decided by the consent of a majority of the members present.
Chapter 5 Board of Directors
Article 14 (Composition and Authority)
① The Board of Directors consists of the President, Vice Presidents, and Directors.
② The Board of Directors deliberates and resolves on the following matters:
- Execution of resolutions of the General Assembly
- Establishment of business plans, budget proposals, and settlement proposals
- Enactment and amendment of the Articles of Association and internal regulations
- Matters delegated by the General Assembly
- Other important matters concerning the operation of the Association
Article 15 (Convocation and Voting)
① The Board of Directors is convened by the President when the President deems it necessary or when there is a request from one-third or more of the registered directors.
② The Board of Directors resolves by the attendance of a majority and the consent of a majority of the directors present.
Chapter 6 Finance and Accounting
Article 16 (Revenue)
The expenses of the Association are covered by membership fees, donations, subsidies, business income, and other incidental income.
Article 17 (Fiscal Year)
The fiscal year of the Association begins on January 1 and ends on December 31 of the same year.
Article 18 (Business Plan and Budget)
The business plan and budget proposal for each fiscal year must be prepared by the Board of Directors and approved by the General Assembly before the start of the fiscal year.
Chapter 7 Supplementary Provisions
Article 19 (Amendment of Articles of Association)
When intending to amend these Articles of Association, the consent of two-thirds or more of the members present at the General Assembly must be obtained.
Article 20 (Dissolution)
The Association may be dissolved with the consent of three-fourths or more of all regular members at the General Assembly. Upon dissolution, the remaining property is donated to an organization with a purpose similar to that of the Association with the approval of the competent authority.
Article 21 (Effective Date)
These Articles of Association take effect from the date approved by the General Assembly.
Addenda
Article 1 (Effective Date)
These Articles of Association are enacted and implemented from January 1, 2024.
Article 2 (Common Practice)
Matters not specified in these Articles of Association follow general practice and resolutions of the Board of Directors.
Article 3 (Effective Date)
These Articles of Association are implemented from January 1, 2024.
